1. Acceptance of Terms

By accessing and using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on the website.

2. Description of Services

OmniWell provides personalized health and wellness services, including but not limited to:

• Custom Longevity Plans
• Concierge Medicine Services
• Travel Doctoring
• Non-Medical Wellness Services

Our services are designed to complement, not replace, your relationship with your primary healthcare provider. We work alongside your existing healthcare team to optimize your health outcomes.

3. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our services on behalf of a minor, you represent that you are the parent or legal guardian of that minor and consent to these Terms on their behalf.

4. User Accounts

To access certain features of our services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. Medical Disclaimer

While OmniWell is a physician-led platform, you should:

• Always seek the advice of your physician or other qualified health provider with any questions regarding a medical condition
• Never disregard professional medical advice or delay seeking it because of something you have learned through our services
• Call your doctor or 911 immediately if you think you may have a medical emergency

6. Payment Terms

Certain services offered by OmniWell require payment. By purchasing services, you agree to:

• Pay all fees and charges associated with your account
• Provide valid and current payment information
• Authorize us to charge your payment method for all fees incurred

All fees are non-refundable unless otherwise specified in writing. We reserve the right to change our pricing at any time, with notice provided to existing customers.

7. Intellectual Property

All content on the OmniWell website, including but not limited to text, graphics, logos, images, and software, is the property of OmniWell, Inc. or its content suppliers and is protected by United States and international copyright laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content without our prior written consent.

8. Prohibited Conduct

You agree not to:

• Use our services for any unlawful purpose
• Impersonate any person or entity
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to any portion of our services
• Use any automated means to access our services without our permission
• Transmit any viruses, malware, or other harmful code
• Harass, abuse, or harm another person through our services

9. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

10. SMS and Text Messaging

OmniWell, Inc. offers an SMS notification service to facilitate communication between the platform and its Service Representatives (“Representatives”). By opting in to SMS notifications, you agree to the following terms:

10.1 Program Description

OmniWell Service Alerts sends operational text message notifications to Representatives when clients request service and no Representatives are currently online. Messages are transactional service alerts only. No marketing or promotional messages are sent via SMS.

10.2 Consent and Opt-In

SMS notifications require your express consent. You may opt in by enabling the “SMS Notifications” toggle in your Representative Portal Settings page. The toggle is off by default and requires explicit action to enable. Consent to receive SMS messages is voluntary and is not required to use the platform or access any services. SMS consent is separate from and not bundled with acceptance of these Terms of Service.

10.3 Message Frequency

Message frequency varies based on client demand. You may receive an estimated 1–50 messages per day depending on service volume.

10.4 Message and Data Rates

Message and data rates may apply. OmniWell does not charge for SMS messages, but your mobile carrier may charge standard messaging fees depending on your plan.

10.5 Opt-Out

You may opt out of SMS notifications at any time by:

• Replying STOP to any SMS message received from OmniWell
• Disabling the SMS Notifications toggle in your Representative Portal Settings

After opting out, you will receive a single confirmation message acknowledging your request. No further messages will be sent unless you opt back in.

10.6 Help

10.7 Privacy and Third-Party Sharing

Your mobile phone number and SMS opt-in consent data will not be shared with any third parties or affiliates for marketing or promotional purposes. For full details on how we handle your information, see our Privacy Policy.

10.8 Carrier Liability

Carriers are not liable for any delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier.

11. Limitation of Liability

To the maximum extent permitted by applicable law, OmniWell, Inc. and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, goodwill, or other intangible losses
• Any damages resulting from your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party on our services

12. Indemnification

You agree to indemnify, defend, and hold harmless OmniWell, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of our services or violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OmniWell, Inc. regarding your use of our services and supersede all prior agreements and understandings, whether written or oral.
